PLEASE READ THESE TERMS OF USE (“ToU”) CAREFULLY BEFORE USING STANLEYGREENSPAN.COM
1. ACCEPTANCE OF TERMS
StanleyGreenspan.com (the “Site”) provides a collection of online resources, including but not limited to various courses, workshops, assessments, communication tools, forums, blog services, bulletin boards, chat rooms or online discussion services and various email services (all collectively referred to as the “Service”). By using the Service in any way, you are agreeing to comply with the ToU as well as StanleyGreenspan.com’s Privacy Policy (“Privacy Policy” and collectively referred to as the “Posted Guidelines”). All such guidelines or rules applicable to such Service are hereby incorporated by reference into the ToU. Should you object to any term or condition of the Posted Guidelines or any subsequent modifications thereto or become dissatisfied with the Site, your only recourse shall be to discontinue use of the Site immediately.
2. MODIFICATIONS TO THIS AGREEMENT
The Site reserves the right, in its sole discretion, to change, modify or otherwise alter the Posted Guidelines at any time without notice to you. Such modifications shall become effective immediately upon the posting thereof. You must review the Posted Guidelines on a regular basis to keep yourself apprised of any changes. Your continued use of the Site following the posting of changes shall mean that you accept any and all changes that are posted.
3. MEMBER ACCOUNT, PASSWORD SECURITY
You represent that you are at least 18 years old and not a person barred from receiving services under the laws of the United States or of any applicable jurisdiction. Furthermore, you agree to provide, true, accurate and complete information about yourself as required by the Site registration form (“Registration Data”) and you further agree to maintain and promptly update the Registration Data in order to keep it true, accurate and complete. If you provide any information that the Site reasonably suspects to be untrue, inaccurate or incomplete, it reserves the right to suspend or terminate, without notice, your membership and/or access to current and future use of the Site or particular services.
Once the registration form is complete, you will be assigned a username and password that are unique to you. You are responsible for maintaining the confidentiality of the username and password and are responsible for all activities that occur under them. Furthermore, you agree to promptly notify the Site of any unauthorized use of your username and password or any other breach of security at registration@StanleyGreenspan.com
4. STANLEYGREENSPAN.COM PRIVACY POLICY
The Site has established a Privacy Policy to explain to users how their information is collected and used. The information and content that you submit to the Site including but not limited to your Registration Data is subject to our Privacy Policy. To the extent there is an inconsistency between this ToU and the Privacy Policy, this ToU shall govern. 5. NO USAGE BY MINORS
Minors under the age of 18 are not eligible to use the Site. This Site is not intended or designed to beused by minors or attract minors under the age of 18. The parent(s) or guardian(s) of the minor(s) shall be fully responsible for any and all liability or loss attributed to any unauthorized use of the Site by such minor(s).
6. INTELLECTUAL PROPERTY RIGHTS
The Content of this Site is protected by copyright law, registered and unregistered trademarks, database rights and other intellectual property rights. Users are prohibited from modifying, copying, distributing, transmitting, displaying, publishing, selling, licensing, creating derivative works, or using any information available on or through the Site for commercial or public purposes.
You may download Handouts from the Website for your own personal use only. Except as otherwise expressly permitted under copyright law, no copying, redistribution, retransmission, publication or commercial exploitation of downloaded material will be permitted without our express permission. In the event of any permitted copying, redistribution or publication of copyright material, no changes in or deletion of author attribution, trademark legend or copyright notice shall be made. You acknowledge that you do not acquire any ownership rights by downloading copyright material.
You agree that you will not transmit or submit any Content (as defined in Section 7) of any type that may infringe or violate any rights of any party; including yourself. By submitting or transmitting any Content, you agree that it is non-confidential for all purposes. If you submit any business information, idea or concept to the Site you automatically grant, or warrant that the owner of such content or intellectual property has expressly granted, the Site a royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, publish, edit, translate, distribute the information or content in any media or medium or any form, format, or forum now known or hereafter developed. If you wish to keep any business information, ideas or concepts private or proprietary, do not submit such content to the Site.
7. CONTENT
You agree that all postings, messages, text, files, images, photos,video, online discussions, blog postings, email or any other type of communication (“Content”) submitted to the Site, its editor(s), webmaster(s) or employee(s), are the sole responsibility of the person submitting such Content. You are prohibited from submitting any Content:
a) that would constitute or encourage a criminal offense, give rise to criminal or civil liability or violate any local, state, or federal law;
b) that is harmful, discriminatory, derogatory, threatening, abusive, harassing, libelous, defamatory, obscene, pornographic, invasive of privacy or publicity rights, unlawful, harmful to minors in any way, or is otherwise objectionable in the Site’s absolute and sole discretion;
c) that alters, damages, or deletes any Content other than your own, that interferes with the ability of others to access the Site, or that disrupts the normal flow of communications and dialogue included in the Site or that otherwise negatively affect other users’ ability to access or use any particular service or the Site;
d) that contains any software viruses, worms, or other software routines that is intended to damage, disable, detrimentally interfere with, or surreptitiously intercept any system date or personal information;
e) that posts or transmits unsolicited advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or other forms of solicitation, other than types of materials for which the areas of the Site are designated;
f) that includes personal or identifying information about another person without that person’s explicit consent;
g) that is false, deceptive, misleading, deceitful, misinformative;
h) that impersonates any person or entity, including but not limited to any Site employee, or falsely states or otherwise misrepresents your affiliation with a person or entity, that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party, or Content that you have no right to make available under any law or under contractual or fiduciary relationships;
i) that advertises any illegal service or sale of any items the sale of which is prohibited or restricted by any applicable law, including without limitation items of the sale of which is prohibited or regulated by Maryland law.
j) that otherwise manipulates headers or identifiers in order to disguise the origin of any Content transmitted through the Service.
Additionally, you agree not to:
k) use devices, including spiders, robots, crawlers, data mining tools, or processes to monitor or copy our webpage or the Content contained thereon.
8. NO MONITORING OF CONTENT
You agree that the Site does not control, and is not responsible for screening, policing, editing, reviewing or monitoring any Content made available through the Site. Furthermore, the Site and Content available through the services provided by the Site, may contain links to other websites, which are completely independent of the Site.
Nevertheless, the Site has the right, but not obligation, in its absolute and sole discretion, to monitor and to block, remove or edit any Content that does not comply with the Posted Guidelines and reserves the right to do so at any time without notice to any user or third party.
9. NO REPRESENTATIONS OF ACCURACY OR COMPLETENESS
The Site makes no representations or warranties as to the accuracy, completeness or authenticity of any of the information or content contained on the Site. You bear all risks associated with the use or reliance of any Content contained in or accessed through the Site. Any use or reliance on said Content is done so at your own risk
10. TERMINATION
The Site may terminate or temporarily suspend your access, immediately and without notice, to all or part of the Service, for any conduct that it determines in its sole discretion, to violate the Posted Guidelines, or to be harmful to the Site or to its users. Furthermore, the Site may, in its sole discretion, discontinue or modify the Site or any part of the Site or any service provided by the Site without notice, at any time for any reason.

THE SITE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. 13. INDEMNITY
You agree to indemnify and hold the Site, Stanley I Greenspan, M.D., Inc. and their respective officers, employees and agents harmless from any and all liabilities, demands, claims and expenses, including reasonable attorney’s fees and court costs, arising from any breach of the Posted Guidelines, from your use of or access to the Site, including but not limited to any Content submitted to or accessed from the Site.
14. OTHER
These ToU shall be governed by and construed in accordance with the laws of the State of Maryland without regard to its conflict of law provisions. You agree that any action at law or in equity arising out of or relating to the Posted Guidelines or to the use of any of the Service or Content on the Site shall exclusively be filed in the state or federal courts located in or for Montgomery County, Maryland and you hereby consent and submit to the personal jurisdiction of such courts for all such purposes. Furthermore, the substantially prevailing party shall be entitled to recover reasonable attorney’s fees and related court costs from any substantially non-prevailing party. If any provision of this ToU shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from this ToU and shall not affect the validity and enforceability of any remaining provisions of the Posted Guidelines. You agree that regardless of any law or statute to the contrary, any claim or cause of action arising out of or relating to the use of the Site and the Posted Guidelines must be filed within one (1) year of the date the claim or cause of action arose, or be barred as untimely. The failure to insist upon or enforce strict performance of any provision of this ToU shall not be construed as a waiver of any provision or right. This ToU constitutes the entire agreement between you and the Site relating to the subject matter contained herein and shall not be modified except as provided herein or in writing signed by the Site.

The Site has established this Privacy Policy to explain to users how information is collected, used and protected. The Site reserves the right to update this Privacy Policy from time to time and encourages you to periodically review the Privacy Policy for such changes. All capitalized terms or abbreviations used in this Privacy Policy shall have the same meaning as defined in the ToU.
1. ABOUT THIS PRIVACY POLICY AND EXTERNAL LINKS
This Privacy Policy applies to the Site and all information submitted to the Site including but not limited to all Content contained therein. The Site may contain links to other sites, made available through the Service or Site. Once you leave the Site and/or enter external websites, the terms of this Privacy Policy no longer apply and therefore you are encouraged to locate and review the privacy policies of such third party websites.
2. REGISTRATION DATA, CONTENT AND OTHER INFORMATION COLLECTED
In order to access the Site, you must first create an account on the Site. When you register as a user on the Site, the Site registration form will require that you supply your name, e-mail address, address, telephone number and a unique user name and password, and for certain users, your child’s name and birth date. The registration form will also prompt you to provide additional, optional, information such as your occupation that the Site in its sole discretion deems to be relevant. The Site also reserves the right to collect credit card information and mailing address information in order to facilitate payment of any charges associated with the use of particular services provided by the Site. Furthermore, the Site also reserves the right to collect names, e-mail addresses and other information contained in postings to blogs, bulletin board, online discussion panels, chat-rooms, as well as from emails or any other type of written communications submitted to the Site, to its editor(s), webmaster(s) or employee(s) and to collect assessment scores.
Anonymous information may be collected by the Site through analysis of use of the Site by users. This anonymous information does not personally identify you, but may be helpful for improving the Service offered. This information may entail the use of “cookies,” “web-beacons”, AIP addresses, or other numeric codes used to identify a computer (collectively referred to as “Identifiers”).

The Site uses the Registration Data and may use other Content contained on the Site to send users promotional messages about services offered by the Site, or to notify users of new features or material changes that may be made to the Service or Site or any part of the Posted Guidelines. 5. IDENTIFIERS
The Site collects non-personal information about the user’s use of the Site through the use of Identifiers. The information collected by such Identifiers assist the Site in improving services offered on the Site. Should the Site or Stanley I Greenspan M.D., Inc., undergo a merger, consolidation, change in control, reorganization or liquidation, or transfer a substantial portion of its or their assets to another entity, the Site’s accumulated Registration Data and other Content, as well as any other user information that the Site has obtained at that time, will be treated as an asset and, like any business asset, will be subject to transfer to or acquisition by a third party.

Any disputes relating to this Privacy Policy shall be exclusively resolved in Montgomery County, Maryland, U.S.A., as is provided for in the ToU of which this Privacy Policy is a part.
